Terms and Conditions

CONDITION OF SALES AND PAYMENT TERMS: All Products prices include delivery to a common carrier at the Products' point of manufacturing or distribution, at which point title and risk of loss to the Products will pass to the Customer. Except as may be specifically authorized in writing by SoloS Distributing LLC, you will pay SoloS Distributing LLC for all Products ordered by within thirty (30) days of the date of the corresponding invoice issued by SoloS Distributing LLC. SoloS Distributing LLC, in its sole discretion, reserves the right to specify, and to change from time to time, your credit line and payment terms. All payments are to be made in US dollars. If at any time you are delinquent in the payment of any invoice, exceed the credit line established by SoloS Distributing LLC, or are otherwise in breach of the Purchase Order, SoloS Distributing LLC may, in its discretion, withhold shipment (including partial shipments) of any order or may require you to pay cash on delivery for further shipments. 

SALES TAX: Any taxes that the seller may be required to pay or collect, under any existing or future law, upon or with respect to the sale, purchase, delivery, storage, processing, use or consumption of any of the material covered hereby, including taxes upon or measured by the receipts from the sale thereof, shall be for the account of the Buyer, who shall promptly pay the amount thereof to the Seller upon demand. 

SHIPPING: All orders are shipped F.O.B shipping point. Title to all goods shall pass to the customer when the customer pays in full for the materials. Risk of loss and/or damage to the goods shall be the responsibility of the customer when the goods leave the shipping point for delivery to the customer. Shortages must be claimed when shipment is received. For all FeDex, UPS or USPS deliveries there will be a $5.00 fee per package.

CHANGES/CANCELLATIONS: Specially manufactured parts will have a 100% cancellation fee if they are in production, or if the material has been purchased. All other parts will incur a 30% restocking fee. 

RETURN OF GOODS: Returns will not be accepted after 15 days from the date of invoice. Returns on custom products, special packaging, sale items or discontinued items will NOT be accepted. Only merchandise in its original full unopened shipping packages will be authorized for return. . Product Returns: Prior to returning any Product, whether for exchange or warranty or non-warranty action, you must obtain a Return Materials Authorization (RMA) number from SoloS Distributing LLC. You should return the Product to SoloS Distributing LLC, with shipping charges prepaid. SoloS Distributing LLC will not accept collect shipments. Your account will be credited (minus any restocking charges that apply) after we receive the returned items. All returns must be made within 30 days of the RMA issue date.

DAMAGED MERCHANDISE:  Please note any damage on the carrier’s delivery receipt and notify SoloS Distributing LLC via email to solosdistributing@gmail.com WITHIN 5 BUSINESS DAYS from the delivery date. ALL DAMAGE NOTIFICATION HAS TO BE SUPPORTED WITH PICTURES AND DETAILS.  

LIMITATION OF LIABILITY: In no event will SoloS Distributing LLC, or any of its distributors, employees, officers or suppliers be liable for any lost profits, lost savings or incidental, direct, indirect, special or consequential damages, arising out of the use or inability to use the product or the breach of this agreement, even if advised of the possibility of such damages. 

WARRANTY: SoloS Distributing LLC cannot be aware of all the uses and applications for which its products are purchased. SoloS Distributing LLC warrants that its products are as identified in SoloS Distributing LLC data sheets in effect at the time of this Agreement. However, SoloS Distributing LLC makes no representation or warranty as to the interpretation of tests for of its products, or as to the appropriateness of such tests for a particular use.

MISCELLANEOUS: If and to the extent that applicable law confers any rights or imposes any duties inconsistent with or in addition to any of the provisions of this agreement, the affected provisions shall be considered amended to conform thereto, but all other provisions hereof shall remain in full force and effect. The laws of Wyoming shall govern over the terms of this agreement. This writing is the full and complete agreement between the parties. Any modifications of this agreement must be made in writing and executed by both parties. Waiver by SoloS Distributing LLC of a breach of any of the terms and conditions of this contract shall not be construed as a waiver of any other breach.
